General Terms and Conditions (GTC)

1. Scope of Application

 

These General Terms and Conditions (AGB) apply to all business relationships between EMA-Handel, Owner: Andrey Sharf, and its customers, in the version valid at the time of the order. Deviating conditions will only be recognized if we expressly and in writing agree to them.

 

These AGB apply to both consumers and businesses.

 

A consumer is any natural person who concludes a legal transaction for purposes predominantly not related to their commercial or self-employed professional activity (§ 13 BGB).

 

A business (entrepreneur) is any natural or legal person or legally responsible partnership that acts in exercise of its commercial or self-employed professional activity when concluding a legal transaction (§ 14 BGB).
 

 

2. Offer and Conclusion of Contract

 

The products and services presented on our website do not constitute a legally binding offer but are an invitation to the customer to submit a binding offer through an order.

 

By submitting the order via www.saunazeltpro.com, the customer makes a binding offer to conclude a purchase contract. Upon receipt of the order, the customer automatically receives an order confirmation email, which does not constitute acceptance of the offer.

 

The purchase contract is only concluded when we ship the ordered product and confirm shipment via a separate email.

 

If a product ordered is not available, we reserve the right not to accept the offer or to withdraw from the contract.

 

The language available for the conclusion of the contract is German.
 

 

3. Prices and Payment Conditions

 

All prices are final prices and include the statutory VAT. Shipping costs and any additional charges are indicated separately in each offer.

 

Additional costs such as customs duties and taxes for shipments outside the EU are to be borne by the customer.

 

We accept the following payment methods:

  • PayPal
  • Bank Transfer
  • Cash on Delivery (COD) with DHL (plus 8 € COD fee per parcel)
  • Cash Payment (available upon self-collection, up to a maximum amount of 9,999.99 €. For payments of 10,000 € or more, the customer's identity must be verified by presenting valid identification and completing a customer identification form.)

Invoices are issued electronically.
 

 

4. Retention of Title

 

The goods remain our property until full payment has been received.
 

 

5. Delivery, Shipping and Transfer of Risk

 

Parcel Shipping within Germany

 

Standard shipping within Germany is free of charge.

 

An additional fee of € 8 per parcel applies when choosing csh on delivery as the payment method. The delivery time is usually 2–4 business days after receipt of payment unless otherwise specified.

 

Freight Shipping within Germany


Freight shipping within Germany is also free of charge and takes place "curbside". Customers must provide a reachable telephone number for delivery coordination. Freight shipments are delivered within 2–5 business days after payment.

 

Parcel Shipping Abroad


Shipping costs for international deliveries are calculated individually during the checkout process. They depend on the destination country as well as the weight and scope of the order. Exact shipping costs will be displayed in the cart before the order is completed.

 

For deliveries to non-EU countries, additional fees may apply for the preparation of export documents. These documents are required for orders with a value of € 1.000 or more. The standard fee is € 60 plus € 5 for each additional item (net prices). The exact amount can be provided upon request in advance.

 

The customer is also responsible for any applicable import duties, customs charges, and taxes in the destination country.

 

Freight Shipping Abroad


Freight shipments abroad are available only upon request. Shipping costs and delivery times are calculated individually and communicated to the customer before the conclusion of the contract.

 

Notice Regarding International Deliveries


Deliveries to countries outside the European Union are subject to the successful issuance of the necessary export documents and permits.


If legal or regulatory restrictions prevent or delay the export, we reserve the right to withdraw from the contract.
Any payments made will be refunded promptly in such cases.

 

Transport Damages 


Upon receipt of the goods, you are advised to inspect the shipment for any signs of transport damage. If any damage is identified, we recommend that you ask the delivery agent to record the damage on the delivery slip.

 

In the case of hidden transport damage that is not immediately apparent upon delivery, you must report the issue within seven calendar days of receiving the goods.
 

 

Transfer of Risk in B2B Transactions

 

Assumption of Risk

 

For business customers as defined in § 14 of the German Civil Code (BGB), the risk of accidental loss or deterioration transfers to the buyer upon handover of the goods to the carrier, freight forwarder, or any other person designated to perform the shipment (§ 447 BGB). This also applies to deliveries offered free of charge.

 

Transport Insurance

 

As a general rule, transport insurance is not separately arranged. The choice of carrier and shipping method is at our discretion unless otherwise agreed in writing with the customer. In making this selection, we are liable only in cases of intent or gross negligence.

 

Reporting Transport Damage

 

In the event of damage or loss during transport, the buyer is obliged to immediately notify the transport company (carrier) and ensure that the issue is documented on the consignment note.

Hidden damages discovered only after unpacking must be reported to us in writing within 7 calendar days of delivery (via email, letter, or fax). Timely dispatch of the notice is sufficient to meet the deadline in accordance with § 438 of the German Commercial Code (HGB).

To help us process your claim efficiently, please follow these steps:

  • Retain the entire shipment, including the packaging and any filler material, until the case has been resolved.
  • Take clear photographs of the damage, showing both the outer and inner packaging, as well as the damaged contents.
  • Send your damage report, along with the photos and a brief description of the issue, to us via email at ema-handel24@gmx.de.

Please note that failure to report the damage on time or to provide adequate documentation may result in your claim being rejected.

 

Warranty

 

Warranty coverage for transport damage or loss is provided only if and to the extent that the issue results from an intentional or grossly negligent breach of duty on our part, or if the packaging used was unsuitable for transport.

 

Intra-Community Deliveries (B2B within the EU)


For orders by businesses located in another EU member state, the delivery is exempt from VAT under § 4 Nr. 1b UStG in conjunction with § 6a UStG, provided a valid VAT identification number is provided and properly documented.
The customer must notify us of a valid VAT ID before completing the purchase. If the requirements for VAT exemption are not met, we reserve the right to invoice German VAT subsequently.
 

 

6. Warranty and Liability

 

The statutory warranty periods apply to new goods (24 months for consumers, 12 months for businesses).

For used goods, the warranty period is limited to 12 months for consumers.

 

Our liability is limited to intent and gross negligence, except for damages resulting from injury to life, body, or health or breaches of essential contractual obligations.

 

Limitation of Liability towards Businesses


We shall not be liable towards businesses for lost profits or other financial damages not directly caused by the delivered goods unless such damages were caused intentionally or by gross negligence.


The provisions of the Product Liability Act remain unaffected.
 

 

7. Right of Withdrawal

 

Consumers have the right to withdraw from the contract within 14 days without giving any reason.

 

Businesses as defined in § 14 BGB do not have a right of withdrawal.

Should individual provisions of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
